NRB Bank Successfully Holds Its Twelfth AGM

NRB Bank PLC has successfully conducted its twelfth Annual General Meeting (AGM), marking yet another significant milestone in the institution’s unwavering commitment to robust corporate governance, transparency, accountability, and the cultivation of shareholder confidence. The AGM reflected the bank’s long-standing principles of prudent management, responsible decision-making, and effective communication with all stakeholders.

According to a press release from the bank, the AGM was held on Thursday in a hybrid format at The Westin Dhaka, enabling participation both in person and virtually. Shareholders from across Bangladesh and abroad joined the session, highlighting NRB Bank’s embrace of modern technology and its inclusive approach towards stakeholder engagement at every level.

All items on the agenda received unanimous approval from the shareholders. Key resolutions included the adoption of the audited financial statements for the previous fiscal year, declaration of dividends, and the appointment of statutory and corporate governance auditors for 2025, along with the approval of their remuneration. These decisions reflect shareholders’ trust in the bank’s financial discipline and strategic direction.

The AGM was presided over by the bank’s Founder and Chairman, Iqbal Ahmed OBE, DBA. In his address, he elaborated on the bank’s recent operational achievements, financial progress, and future strategic plans. He emphasised that, despite global and domestic economic challenges, NRB Bank remains steadfastly committed to risk management, sustainable growth, and preserving stakeholder confidence.

The meeting saw active participation from a large number of executive and independent directors, as well as shareholders, both in-person and online. Their engagement underscored support for the bank’s strong governance framework. Present among the board members were Executive Committee Chairman Md. Kamrul Islam Chowdhury, Audit Committee Chairman A K M Mizanur Rahman, FCA, and Risk Management Committee Chairman Sheikh Md. Salim. Independent directors Ferdous Ara Begum and S K Matiur Rahman also delivered remarks during the session.

NRB Bank’s Managing Director and CEO, Tarek Riaz Khan, provided a detailed briefing on the bank’s operational performance, financial discipline, and strategic priorities. The formal proceedings of the AGM were overseen by NRB Bank Securities PLC Chairman M. Badiuzzaman and Company Secretary Md. Rezaul Karim.

Overall, the twelfth AGM was not merely a procedural formality; it reaffirmed NRB Bank’s dedication to responsible banking practices, reinforced its commitment to strong corporate governance, and strengthened its resolve to create long-term value for all stakeholders.
