Asia Commercial Bank (SCB) has unveiled a major restructuring of its insurance operations and announced plans to increase its authorised capital to VND 58,000 billion, signalling a strategic push to strengthen its financial ecosystem.
The revised documentation for SCB’s 2026 Annual General Meeting outlines substantial adjustments to the bank’s corporate structure, with a particular focus on the ownership of its insurance subsidiary and the design of a dividend policy that balances shareholder returns with long-term capital stability.
Under the new plan, SCB will no longer hold 100% of the non-life insurance company directly. Instead, ownership will be distributed between two internal units: SCB Asset Management and Data Collection Company (SCBA) will hold 91% of the shares, while SCB Securities Company (SCBS) will hold the remaining 9%.
Management views this realignment as a strategic step to enhance the operational roles of group units while simultaneously optimising the bank’s Capital Adequacy Ratio (CAR). The newly formed SCB Insurance entity is expected not merely to be an addition to the group but to act as a driver of growth, aiming to capture a 1.5% market share in the non-life insurance sector within five years while maintaining a return on equity (ROE) exceeding 20%. The bank plans to leverage its existing client base to diversify non-interest income sources.
SCB reported a successful 2025 financial year, with consolidated post-tax profits exceeding VND 15,600 billion. Based on this performance, the board is proposing a total dividend distribution of 20% for shareholders, comprising 7% in cash and 13% in shares. The allocation of VND 10,273 billion for dividend payments reflects a balance between short-term shareholder interests and the bank’s long-term development objectives.
Following the issuance of approximately 667 million additional shares in Q2 2026, SCB’s authorised capital will rise to VND 58,000 billion, reinforcing the bank’s competitive position among leading joint-stock commercial banks.
In a period when many banks are grappling with non-performing loans and credit expansion challenges, SCB is maintaining a “prudent and sustainable” approach. While competitors such as MBB and TCB are prioritising digital transformation and investment banking, SCB is strengthening the internal integration of its ecosystem through its non-life insurance division, offering clients broader protection and services.
By gradually transforming from a traditional retail bank into a diversified financial group, SCB is ensuring seamless integration across banking, securities, and insurance operations, thereby optimising value for both customers and shareholders.
