Bangladesh National Insurance Shares Jump Despite No Hidden Disclosure

Bangladesh National Insurance Company Limited has denied having any undisclosed price-sensitive information or operational decisions that could account for the recent sharp rise in its share price and trading volume.

The general insurer made the clarification in response to a formal query from the Chittagong Stock Exchange (CSE) dated 14 September 2026. The exchange sought an explanation after the company’s shares recorded a notable upward movement on the stock market.

According to Dhaka Stock Exchange (DSE) data, Bangladesh National Insurance shares were priced at Tk106.20 on 30 August. The price subsequently rose by around 31%, reaching Tk138.80. The sizeable movement prompted the CSE to seek clarification from the company over whether any undisclosed corporate development or operational decision was behind the unusual activity.

In its response, the insurer said it had no undisclosed information or operational decisions that could explain the movement in its share price or trading volume. The statement separates the recent market activity from any unpublished corporate development and comes as the company has reported improved financial indicators for the first half of 2026.

Bangladesh National Insurance is majority-owned by Meghna Group of Industries and was listed on the country’s stock exchanges in 2016. For the financial year 2025, the insurer recently rewarded shareholders with a 22% cash dividend. The dividend yield was reported at 4.92%.

The company’s latest financial statements show an improvement in earnings during both the second quarter and the first half of 2026. For the April-June quarter, earnings per share (EPS) rose to Tk1.39, compared with Tk0.98 in the corresponding period of 2025.

On a cumulative basis, EPS for January-June 2026 increased to Tk3.00 from Tk2.04 a year earlier. The figures indicate that the company generated higher earnings per share during the first six months of the year than in the same period of 2025.

A particularly significant change was recorded in net operating cash flow per share (NOCFPS). The indicator rose to Tk5.60 in the first half of 2026, compared with Tk2.03 during the same period of the previous year. This represents an increase of Tk3.57 per share over the year-earlier period.

Net asset value (NAV) per share also strengthened during the first half of the year. As of 30 June 2026, the company’s NAV stood at Tk34.26 per share, up from Tk31.26 at the end of December 2025. The six-month increase was therefore Tk3 per share.

The insurer has attributed the improvement in operating cash flow to several operational factors. It said lower claim payouts and reduced management expenses contributed to the rise in NOCFPS. The company also cited optimised reinsurance costs and exemptions on agency commissions during the period.

For an insurance company, claims, operating expenses and reinsurance arrangements are among the factors that can influence cash movements from operations. In this case, the company has specifically linked the stronger first-half cash flow to changes in those areas rather than to any newly disclosed corporate development.

The recent share-price movement has therefore taken place alongside stronger reported financial performance. Between 30 August and the subsequent rise to Tk138.80, the stock gained about 31%, while the company’s first-half results showed higher EPS, stronger operating cash flow and an increase in NAV per share.

Despite these developments, Bangladesh National Insurance has told the CSE that it has no undisclosed price-sensitive information or operational decision that would explain the unusual movement in its securities.

The company’s response means that the financial information currently available to the market includes its reported first-half earnings, improved operating cash flow, higher net asset value and the 22% cash dividend declared for 2025. The insurer has not identified any additional unpublished information as a reason for the recent rise in its shares.
